TERMS OF PAYMENT

Applicant agrees to the following terms of payment: If payment is not made within 30 days, a default service charge of 2% per month, which is 24% per annum (or the highest amount allowed by law), will be applied to any unpaid balance. Accounts more than 30 days overdue may be placed on a C.O.D. basis. If payment is not made when due, then an additional stipulated sum of 25% of the unpaid amount(s) shall be added for attorneys’ fees (including post-judgment collection efforts) and other collection costs.

Terms of Credit Approval: Applicant agrees that ULE Group Corp., in its sole and absolute discretion, can rescind or terminate any credit approval to the Applicant at any time and that no action or statements by ULE Group Corp. in approving or extending credit shall obligate ULE Group Corp. to continue to extend credit to the Applicant.

AUTHORIZATION AND AGREEMENT TO PAYMENT TERMS: The individual signing this Credit Application and the attached Personal Guaranty of Payment is the authorized representative of the Applicant and hereby represents and warrants that the information set forth in this credit application is complete and accurate. On behalf of the Applicant, the individual signing this credit application hereby instructs and authorizes ULE Group Corp . to obtain and review reports regarding the Applicant and his or her personal credit, including reports from the bank and trade references set forth above and credit reporting agencies, etc., in making the decision to extend or not extend credit to the Applicant. The individual signing this Credit Application hereby authorizes the trade references and bank references as set forth above and credit reporting agencies to disclose all information to ULE Group Corp. regarding the Applicant and the individual signing this credit application. The undersigned individual understands that his or her signature below authorizes United to obtain all of this information. The undersigned individual must be one of the following (please check one)

As an inducement for ULE Group Corp. to grant credit to the Applicant from time to time, the undersigned hereby agrees to unconditionally, absolutely and personally guarantee the payment of all amounts due by the Applicant to ULE Group Corp. whether existing or incurred in the future, whether within or above initial or subsequent credit amounts requested, including interest on past due balances and all expenses of collection and reasonable attorneys’ fees and costs (including fees and costs incurred post-judgment) incurred by ULE Group Corp. upon demand, without requiring ULE Group Corp. to first enforce payment against the Applicant, without deduction for any claim of set-off or counterclaim or any other defense against ULE Group Corp. The undersigned hereby expressly waives all notices and agrees that this Guaranty shall continue in full force and effect until all amounts due from the Applicant to ULE Group Corp. have been paid in full. The undersigned understands that this is a personal guaranty for which he or she is individually responsible.
